JOB DESCRIPTION
Corporate Governance:
- Assist the Company Secretary in ensuring the company’s compliance with applicable laws, regulations, and internal policies.
- Provide guidance tthe board of directors and senior management on corporate governance matters.
Compliance and Regulatory Affairs:
- Support the Company Secretary in maintaining company records, organizing board meetings, and ensuring compliance with statutory requirements and regulatory filings.
- Assist in filing annual returns, disclosures, and other regulatory documentation.
Board Support and Communication:
- Facilitate effective communication between the board of directors, shareholders, and stakeholders.
- Assist in preparing board agendas, taking minutes, and maintaining board records.
Risk Management and Ethics:
- Assist in overseeing risk management processes, including risk identification, evaluation, and mitigation.
- Promote ethical practices within the organization and ensure adherence tcorporate codes of conduct.
Legal Advisory:
- Provide legal advice and guidance tthe company’s management and employees on various legal matters, including contract law, employment law, intellectual property, regulatory compliance, and dispute resolution.
Contract Drafting and Negotiation:
- Draft and review contracts, agreements, and other legal documents tprotect the company’s interests and align them with its objectives.
Risk Assessment and Compliance:
- Assess legal risks associated with the company’s operations and propose strategies tmitigate those risks.
- Ensure compliance with applicable laws, regulations, and industry standards.
Dispute Resolution:
- Represent the company’s interests in legal disputes or litigation, either through negotiation or collaboration with external legal counsel.
Qualifications
- Tperform this job successfully, an individual must demonstrate the following competencies.
- Understanding of corporate governance principles, laws, and regulations tensure compliance within the organization.
- Knowledge of applicable laws, regulations, and industry standards tensure regulatory compliance.
- Proficiency in contract law principles, including contract drafting, negotiation, and interpretation.
- Familiarity with employment laws and regulations tprovide guidance on employment-related legal matters.
- Understanding of intellectual property laws and rights tprotect the company’s intellectual assets.
- Knowledge of risk management principles and practices tidentify and mitigate legal risks.
- Understanding of dispute resolution methods and strategies thandle legal disputes effectively.
